The terms and conditions along with the private policy constitute the agreement of Winspere limited, trading as Winspere, whose registered office is 788-790 FINCHLEY ROAD, LONDON, NW11 7TJ, and trading address is WINSPERE LIMITED 31 BRIDGE COURT, BRIDGE STREET, NEWHAVEN, EAST SUSSEX, BN9 9PJ Website use.

  1. You accept the use our web sites only in accordance with these Terms & Conditions and only for lawful purposes and in a lawful manner.
  2. You accept that all information which you provide to us is, accurate, current and complete in all respects and that you will notify us of any changes to such information.
  3. We reserve the right to change or remove (temporarily or permanently) a web site (or any part of it) without notice to you and you confirm that we shall not be liable to you for any such change or removal.
  4. Our web sites are provided to you on an 'as is' and 'as available' basis without any warranty being given in relation to the web sites including (but not limited to) implied warranties of non-infringement, compatibility, security, accuracy or any implied warranty arising from course of dealing or usage or trade.
  5. We make no warranty that the web sites will meet your requirements or will be uninterrupted, timely, or error-free, that defects will be corrected or that the site or the server(s) that makes it available are free of viruses or bugs.
  6. We will not be responsible or liable to you for any loss of material uploaded or transmitted through our web sites.
  7. All emails and any attachment(s) is/are confidential. If an email is received by a party who is not the intended recipient they are requested to notify us immediately, delete it from their system and refrain from copying or using it for any purpose or disclosing its contents in any other way.
  8. We are not responsible for the content of emails which may or may not contain personal views. Anything said or contained within an email does not necessarily reflect our views and opinions unless specifically stated.
  9. Internet communications are not secure and may be intercepted. All emails are checked for all known viruses by our anti virus software package which is updated at least daily and no further liability can be accepted.
  10. All links on our web sites to third party web sites are provided purely as an information source and we do not endorse, approve, certify or control links to or information provided by other individuals, institutions or organisations, and do not guarantee the accuracy, completeness, efficacy, timeliness, or correct sequencing of information located at external Internet addresses, nor are we are responsible for the terms, conditions, policies or security of these web sites.

 

Services

a Winspere limited agrees to provide the following services below and other related services at its own discretion as its commercial enterprise.

 

i. The services we provide are 'shared drop distribution' and ‘solus drop door distribution' to homes and businesses; and, or, field marketing in public spaces, events and other places. 

 

ii. The cost of the 'shared drop door distribution' is £15 per 1,000 articles, shared with upto 2 other leaflets delivered according to availabilty usually within 14 days.  ‘Solus drop door distribution service’ is £40 per 1,000 articles, which are defined as flyers, leaflets, brochures and other material and will be distributed to the target market within 14 days of your expressed commencement date. The minimum order value is £65. Price for field marketing is set at £12 per hour plus 10% of the local authority leafleting licence if necessary, and any additional ad hoc uniform requirements.

 

iii. Payment for services rendered must be made either when booking or within 28 days of placing the booking.

 

iv. Winspere limited, reserves the right to request a deposit during the carrying out of services.

 

v. Winspere Limited also reserves the right to offer preferential pricing to high value order/frequent customers.

 

vi. Bookings made on winspere.co.uk constitute a legal contractual arrangement for us render our services. Cancellation on of any booking must be made within 5 working days of the commencement date, otherwise we may retain all or part of any deposit to meet any costs that have arisen from identifying and planning best execution of our services, unless senior management specify differently.

 

vii. In instances beyond our control, Winspere limited reserves the right to change distribution commencements dates and the duration to complete the distribution campaign.

 

viii. For drop door media distribution Winspere limited provides GPS tracking data for clients to review distribution activity. The information contained in our GPS tracking devices is of a competitive nature, displaying routes identified and taken to help abrogate overall distribution times. For this reason, data from the GPS devices once reviewed by our clients should not be used by any other 3rd party without our explicit consent and approval first lest will lose our competitive advantage.

 

ix. Media to delivered is to be collected by ourselves and inspected for quantity and accuracy before delivery can commence.

 

Notifications /Updates

You agree that Winspere limited may provide notices or updates unless otherwise expressly stated, via email and/or by means of contacting you over the telephone and not limited by these methods, but extended over any other deliverable route as agreed upon to ensure that we can communicate propitious information to you quickly and effectively for your interest and benefit.

Intellectual Property

 

Winspere limited does not grant any licence or other authorisation to use any of its trade marks, product names, company names or logos or any of its copyright works or other intellectual property rights by placing them on or making them available by means of the Website or the Services.

 

Termination

With good cause, Winspere limited may terminate, suspend or deny you access to the Website and/or Services immediately for any reason without incurring any liability whatsoever to you.

 

 Claims

 You agree to indemnify Winspere limited for all losses, costs, actions, claims, damages, expenses (including reasonable legal costs and expenses) or liabilities, whatsoever suffered or incurred by Winspere limited in or as a consequence of your breach of the terms & conditions & private policy and/or your use of the Website and/or Services (save to the extent that a court of competent jurisdiction holds that such a claim arose due to an act or omission of Winspere limited

 

Force Majeure

Neither party shall be liable to the other, for any loss or damage which may be suffered by the other party due to any cause beyond the first party's reasonable control.

 

Severability 

If any provision of this agreement or part thereof is determined to be invalid, unlawful or unenforceable, such provision, or part thereof, shall be severed from the remaining terms, conditions and provisions which shall continue to be valid and enforceable to the fullest extent permitted by law.
